Watchtower — Terms of Service
Last updated: September 23, 2026 · Effective: September 23, 2026
1. Agreement to Terms
These Terms of Service ("Terms") are a binding agreement between adParagon, LLC ("adParagon," "we," "us") and the entity or person that registers for or uses Watchtower (the "Service"). By creating an account, clicking "I agree," or using the Service, you ("Customer," "you") agree to these Terms. If you are entering into these Terms on behalf of a company, you represent that you have authority to bind that company.
If you do not agree, do not use the Service.
2. The Service
Watchtower is a traffic-quality and fraud-detection platform. It ingests traffic events (such as clicks and conversions) that you send to it, evaluates them against detection models, and returns verdicts, scores, and quality metrics through an API, SDKs, webhooks, and a dashboard. Optional features include a cross-tenant reputation network, verified onboarding (KYB), and analyst tooling.
The Service provides risk signals and recommendations. You remain solely responsible for how you act on them, including any decision to allow, hold, block, or reverse traffic or payouts. See Section 10 (No Guarantee).
3. Accounts and Access
3.1 Registration. You must provide accurate information and keep it current. You are responsible for all activity under your account and for keeping your API keys and credentials confidential.
3.2 Eligibility. You must be able to form a binding contract and use the Service only for lawful business purposes.
3.3 Users. You are responsible for your personnel and anyone you allow to access the Service, and for their compliance with these Terms.
4. Plans, Fees, and Billing
4.1 Plans. The Service is offered in tiers (currently Starter, Growth, Scale, and Enterprise) described at watchtowerhq.ai/#pricing. Each plan includes a monthly allotment of evaluations; usage above the allotment is billed at the overage rate for your plan.
4.2 Payment. Fees are billed in advance for the subscription period and charged to your payment method on file through our payment processor, Stripe. Overage and usage-based charges are billed in arrears. All fees are in USD and are non-refundable except as required by law or as expressly stated here.
4.3 Taxes. Fees are exclusive of taxes. You are responsible for all applicable taxes other than taxes on our net income.
4.4 Changes to fees. We may change pricing on renewal with at least 30 days' notice. Continued use after a change takes effect constitutes acceptance.
4.5 Late or failed payment. If a charge fails, we may retry, suspend the Service, or downgrade your plan after reasonable notice.
5. Acceptable Use
You agree not to, and not to permit anyone to:
- use the Service to violate any law or third-party right, or to process data you have no lawful basis to process;
- send data that infringes privacy, IP, or other rights, or that you are contractually or legally barred from disclosing;
- reverse engineer, decompile, or attempt to extract the source code, models, or detection logic of the Service, except to the extent this restriction is prohibited by law;
- resell, sublicense, or provide the Service to third parties except as expressly permitted for your own end-customers' traffic;
- probe, scan, or test the vulnerability of the Service, or circumvent its security, rate limits, or access controls;
- use the Service to build a competing product, or to train a competing model;
- send malicious code, or interfere with the integrity or performance of the Service.
We may suspend access immediately if we reasonably believe your use threatens the security, integrity, or availability of the Service or violates this Section.
6. Customer Data and the Reputation Network
6.1 Your data. "Customer Data" means the traffic events and other data you submit to the Service. As between the parties, you own Customer Data. You grant us a worldwide, non-exclusive license to process Customer Data to provide, secure, and improve the Service, and as described in the Privacy Policy and Data Processing Addendum ("DPA").
6.2 Your responsibilities. You represent that you have all rights, consents, and lawful bases needed to submit Customer Data to the Service and to permit the processing described in these Terms, the Privacy Policy, and the DPA. You are the controller of the personal data in Customer Data; we are your processor. See the DPA.
6.3 Reputation network. If you enable the cross-tenant reputation network, you authorize us to derive irreversibly hashed, non-identifying reputation signals from Customer Data and to contribute them to, and read them from, a shared network across tenants, subject to the safeguards described in the Privacy Policy and DPA (including one-tenant-one-vote, k-anonymity thresholds, peppered HMAC identifiers, recency decay, and erasure reversal). Raw identifiers are never shared between tenants. You may disable the reputation network at any time.
6.4 Aggregated and derived data. We may create and use aggregated, de-identified, and statistical data derived from use of the Service (including to develop and improve detection models), provided such data does not identify you or any individual and is not presented as attributable to you.
7. Intellectual Property
The Service, including all software, models, detection logic, documentation, and the Watchtower name and marks, is owned by adParagon and its licensors and is protected by law. Except for the limited right to use the Service under these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction or obligation.
8. Confidentiality
Each party may access confidential information of the other. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and advisors bound by confidentiality. This does not apply to information that is public, independently developed, or rightfully received from a third party. This Section does not limit either party's data-protection obligations, which are governed by the DPA.
9. Third-Party Services
The Service integrates with third-party platforms (for example, trackers, MMPs, payment processing, and identity/KYB verification). Your use of those services is governed by their terms, and we are not responsible for them.
10. No Guarantee; Disclaimer
10.1 Detection is probabilistic. Fraud detection is inherently statistical. The Service does not guarantee that it will identify all fraudulent traffic or that it will never flag legitimate traffic (false positives). Verdicts, scores, and grades are recommendations, not determinations of fact, and you are responsible for your own decisions and their consequences, including any decision to block, hold, reverse, or pay.
10.2 "As is." EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
11. Limitation of Liability
11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
11.2 EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID OR OWED TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
11.3 These limits do not apply to: your payment obligations; your breach of Section 5 (Acceptable Use) or Section 7 (IP); or either party's liability that cannot be limited by law.
12. Indemnification
You will defend and indemnify adParagon against third-party claims arising from (a) Customer Data or your submission of it, (b) your use of the Service in violation of these Terms or law, or (c) your acting on (or failing to act on) verdicts in a way that harms a third party. We will defend and indemnify you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights. The indemnifying party's obligations are conditioned on prompt notice, sole control of the defense, and reasonable cooperation.
13. Term, Suspension, and Termination
13.1 Term. These Terms apply while you have an account or use the Service.
13.2 Termination for convenience. You may cancel at any time effective at the end of the current billing period. We may terminate or decline renewal on 30 days' notice.
13.3 Termination for cause. Either party may terminate for the other's material breach not cured within 30 days of notice. We may suspend or terminate immediately for Section 5 violations, non-payment, or legal risk.
13.4 Effect. On termination, your right to use the Service ends. We will make Customer Data available for export for 30 days, after which we may delete it per our retention practices and the DPA. Sections that by their nature survive (including 6.4, 7, 8, 10–12, 14) survive.
14. General
14.1 Governing law; venue. These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the courts located in Sandpoint, Idaho (Bonner County).
14.2 Changes. We may update these Terms; we will post the updated version and, for material changes, provide reasonable notice. Continued use after changes take effect constitutes acceptance.
14.3 Assignment. You may not assign these Terms without our consent, except to a successor in a merger or sale of substantially all assets. We may assign freely.
14.4 Entire agreement. These Terms, the Privacy Policy, the DPA, and any order form are the entire agreement and supersede prior agreements on their subject matter. If there is a conflict, an executed order form controls, then the DPA (for data protection), then these Terms.
14.5 Miscellaneous. Failure to enforce is not a waiver. If a provision is unenforceable, the rest remains in effect. Nothing creates a partnership or agency. Neither party is liable for delays caused by events beyond its reasonable control.
